1.1 Service: Refers to the professional matchmaking and video meeting arrangement service provided by Destina, designed to connect clients with their target audience for business or professional purposes.
1.2 Pilot Program: A test program priced at $1,500, providing 15 video meetings with potential customers, prospects, or stakeholders based on your provided criteria.
1.3 Client: Any individual or entity that registers for and/or uses Destina’s Service.
1.4 Agreement: These Terms of Use, along with our Privacy Policy, Payment Policy, and any other guidelines or policies we provide.
1.5 Account: The online account you create to use our Service.
1.6 Contact: Any individual or entity introduced to you through the Service.

2. Eligibility and Registration
2.1 Eligibility: To use our Service, you must:
Be at least 18 years old and legally capable of entering into contracts.
Provide accurate, complete, and current registration information.
Not be located in a country subject to sanctions or restrictions under applicable laws, including, but not limited to, Cuba, Iran, North Korea, Syria, or regions under embargo.

Maintain the security of your account credentials.
Notify us immediately of unauthorized access or use of your account.
2.3 Prohibited Use: You agree not to:

3.2 Customization: Clients must provide clear and accurate details about their target audience, including industry, geographic region, and any specific qualifications.
3.3 Limitations: The Pilot Program:
Does not guarantee outcomes such as sales, partnerships, or specific ROI.
Is limited to 15 meetings within the scope of the $1,500 fee.
Excludes additional services such as detailed post-meeting analytics or follow-up arrangements unless explicitly agreed upon.
3.4 Performance Metrics: Destina tracks performance metrics, including meeting attendance rates, to ensure quality. Metrics are shared upon request but are not binding guarantees of success.

4. Payment Terms
4.1 Fees: The Pilot Program fee is $1,500, payable in full before the program begins. All fees are non-refundable unless otherwise stated.
4.2 Payment Methods: Payments may be made via credit card, bank transfer, or other methods specified during registration. Clients are responsible for transaction fees, if applicable.
4.3 Taxes: Fees exclude applicable taxes. Clients are responsible for all taxes or duties assessed based on their use of the Service.
4.4 Late Payments: Failure to pay on time may result in suspension or termination of Service. Interest may be charged on overdue payments at the maximum legal rate.

5.1 General Conduct: Clients agree to:
Engage professionally and respectfully with contacts introduced through the Service.
Avoid misrepresentation or unethical behavior during meetings.

Soliciting contacts for purposes unrelated to the agreed criteria.
Sharing or selling contact information obtained through the Service without consent.

7. Termination and Suspension
7.1 Termination by Client: Clients may terminate their participation in the Pilot Program by providing written notice. No refunds will be issued for unused meetings.
7.2 Termination by Destina: We may suspend or terminate your access to the Service if:
You violate these Terms.
You fail to pay required fees.
Your conduct negatively impacts other users or our operations.
7.3 Post-Termination Obligations: Upon termination, you must:
Cease using the Service immediately.
Return or delete any proprietary materials shared by Destina.

8. Intellectual Property
8.1 Ownership: All intellectual property rights related to the Service, including software, algorithms, and proprietary materials, belong to Destina.
8.2 License: Destina grants you a limited, non-exclusive, non-transferable license to use the Service solely for its intended purpose.

Reverse engineer or decompile any part of the Service.

10. Limitations of Liability
10.1 No Guarantee of Results: Destina does not guarantee specific outcomes from the Service.
10.2 Indirect Damages: We are not liable for indirect, incidental, or consequential damages arising from the use of our Service.
10.3 Total Liability: Destina’s total liability under these Terms is limited to the amount paid by the Client for the Pilot Program.

11. Dispute Resolution
11.1 Arbitration: Disputes will be resolved through binding arbitration in accordance with the rules of Gobierno de España.
11.2 Governing Law: These Terms are governed by the laws of Spain.

12. Miscellaneous
12.1 Force Majeure: Destina is not responsible for delays or failures caused by events beyond our control, including natural disasters, labor strikes, or internet outages.
12.2 Severability: If any provision of these Terms is deemed unenforceable, the remaining provisions will remain in effect.
12.3 Entire Agreement: These Terms, along with our Privacy Policy and other guidelines, constitute the entire agreement between you and Destina.
